Restaurant Operator Terms of Service

Guest reservation and waitlist use is governed separately by the Guest Terms of Use. Tade is operated by Taehyung Kim, a sole proprietorship operating as Tade, based in Vancouver, British Columbia, Canada. Contact: admin@thetade.com.

1. Eligibility and Business Authority

You must be the age of majority, legally capable of entering a contract, and authorized by the restaurant business you register. Account information and the restaurant's legal country must be accurate. The restaurant country is established during setup and controls restaurant-scoped public, legal, and communication origins and currency used by the current Service; it cannot be changed merely by travelling or opening another regional domain. The admin website address itself may redirect according to the visitor's approximate country, but that redirect does not change the restaurant's legal country. Separate regional email delivery is prepared but not active: current transactional email uses the shared no-reply@thetade.com sender, and current SMS in both countries uses the same Tade toll-free sender until a separately verified delivery rollout changes that.

Before Tade creates a new operator account through the admin website, the account-signup flow requires the operator to personally check the current business-authority and legal-acceptance statement. Ordinary admin-web sign-in resolves an existing account only and does not repeat that account-creation clickwrap. Restaurant creation requires a separate checked acceptance tied to the restaurant being created, and the manager app may require a current checked acceptance before issuing an existing-account session. Where a clickwrap applies, Tade rejects a missing, stale, or altered version claim instead of treating silence, a previously saved session, or merely opening a page as acceptance. The applicable linked copies are selected by the restaurant's registered country.

2. Operator Services

Tade provides tools for restaurant information, operating hours, holidays, floor and table setup, availability, reservations, waitlists, walk-ins, guest records, menus, photos, promotions, transactional communications, and related operations. The admin website is the primary place for account creation, setup, destructive account actions, and full configuration. The mobile manager app is for authorized users of an existing restaurant account and day-to-day operations; some settings are read-only or web-only.

Tade may add, change, limit, or remove functions as the Service develops. Features labelled unavailable, disabled, preview, or future are not part of the current commitment. In particular, paid billing and push-notification delivery are not currently active services.

3. Account and Sign-In Security

Primary operator account and sign-in interfaces use Google or Apple. A single Continue action signs in an existing Tade account. When the verified identity is new, Tade instead opens an account-creation review showing the current Operator Terms and Privacy Notice; no owner session or restaurant onboarding access is issued until the operator checks the account-signup statement and selects Create account. The backend still exposes legacy password-based registration, verification, login, recovery, and password-change API routes for compatibility even though the main sign-in screens no longer offer a password registration or login form. Password-based account creation is subject to the same current account-signup legal-acceptance contract. You authorize Tade to use the identity information a selected provider returns to identify an existing account or prepare the account-creation review. Keep the provider account or legacy password, device, browser session, and Tade session secure. On a shared restaurant device, use the persistent sign-in option only when the device is physically and administratively controlled by the restaurant, and sign out before transferring or disposing of it.

You are responsible for activity performed through your account or authorized devices. Do not share access with unauthorized people or use another person's identity. Tell Tade promptly about suspected compromise. Tade may require fresh authentication for sensitive actions and may suspend a session or account to protect the business, guests, or Service.

The current Service does not provide separate employee accounts, granular staff role-based access control, or reliable employee-by-employee attribution. Authorized staff may use an owner-authorized browser session or an admin-app session on a restaurant-controlled device, and activity may therefore be attributed to the owner account or device session rather than to the individual staff member who performed it. The restaurant owner is responsible for deciding who may use those sessions or devices, limiting access to authorized staff, removing access when duties change or end, signing out or resetting access on lost or transferred devices, and maintaining any staff-level records the restaurant requires. Do not disclose a Google, Apple, or legacy password to staff.

4. Restaurant Configuration and Operations

You are responsible for the accuracy and legality of restaurant names, contact details, addresses, hours, table layouts, availability, menus, prices, allergens, policies, photos, promotions, and other content you provide. You must maintain operational settings that allow staff to honor representations shown to guests. Tade does not operate the restaurant and is not responsible for food, service, premises, employee conduct, deposits, charges, refunds, accessibility, or compliance obligations specific to the restaurant.

5. Guest Information and Privacy Responsibilities

The restaurant determines why its staff collect and use guest names, phone numbers, email addresses, visit notes, reservation and waitlist details, history, no-show counts, internal notes, and block status. The restaurant is responsible for an appropriate legal basis, meaningful notice, limiting staff access, accuracy, secure use, and responding to guest requests. Tade processes that information to provide the Operator Services and also performs limited security, delivery, opt-out, compliance, and support processing described in the Restaurant Operator Privacy Notice and Guest Privacy Notice.

Do not enter information unrelated to restaurant operations, covertly discriminatory notes, payment card data, government identifiers, medical records, or sensitive details the restaurant does not reasonably need. If a guest provides allergy, accessibility, or similar information, restrict it to what staff need to serve the guest and handle it in accordance with law.

5A. Restaurant Guest Data Processing Terms

“Restaurant Guest Data” means personal information that a guest or the restaurant submits to the restaurant-scoped reservation, waitlist, walk-in, visit, guest-record, communication, consent, delivery, deletion, or support functions, together with related records generated in operating those functions. The restaurant determines the restaurant-service purposes for that data. Restaurant settings, authorized actions, and valid requests transmitted through the Operator Services are documented instructions to Tade. Each party remains responsible for the obligations that applicable law places on information under its control.

The restaurant instructs Tade to collect, host, organize, retrieve, update, transmit, delete, or anonymize Restaurant Guest Data only as reasonably necessary to operate reservations, waitlists, walk-ins, visits, and guest records; display restaurant-authorized information; deliver authorized transactional communications; maintain consent, opt-out, delivery, and deletion evidence; provide support; protect the Service and prevent abuse; respond to valid privacy requests; and satisfy applicable legal, carrier, and provider obligations.

Tade will not use Restaurant Guest Data for third-party advertising, cross-context behavioral advertising, marketing campaigns, unrelated commercial purposes, or cross-restaurant guest profiling. Tade may process the minimum information needed across restaurants to enforce a recipient's global STOP or START state and for Service security, integrity, abuse prevention, legally permitted compliance, support, privacy-request, audit, dispute, or legal purposes, but not to create a shared commercial guest profile.

To the extent the California Consumer Privacy Act applies and Tade processes Restaurant Guest Data as the restaurant's service provider or contractor, the restaurant discloses personal information to Tade only for the limited purposes above. Tade will not sell or share that information; retain, use, or disclose it outside those purposes or the direct business relationship except as permitted by the CCPA; or combine it with information from another source except as expressly permitted by the CCPA. Tade will provide the level of privacy protection the CCPA requires of it, notify the restaurant if Tade determines that it can no longer meet those obligations, permit reasonable compliance verification, and allow the restaurant to require appropriate steps to stop and remediate unauthorized use. Tade certifies that it understands and will comply with these restrictions.

Tade will reasonably assist the restaurant with valid access, correction, deletion, consent-withdrawal, and use-limitation requests using information and controls reasonably available in the Operator Services. Tade may retain only the opt-out, consent, delivery, deletion-audit, security, dispute, and legal records described in the applicable Privacy Notices or otherwise permitted or required by law. The restaurant must not instruct Tade to process information unlawfully or outside these Operator Terms.

Tade may use the providers identified in the Restaurant Operator Privacy Notice where needed to provide the Service. Where applicable law requires, Tade will notify the restaurant of a new processing engagement and use written terms that require the provider to protect Restaurant Guest Data consistently with the obligations applicable to that processing. Tade will maintain reasonable safeguards appropriate to the nature and sensitivity of Restaurant Guest Data and will notify the restaurant without unreasonable delay after discovering a security incident affecting data maintained for that restaurant, and immediately where applicable law requires, subject to lawful investigative restrictions. Tade will provide reasonably available information and cooperation needed for the restaurant's assessment and required response.

6. SMS and Email

Tade supports transactional communications, not marketing campaigns. Online self-service reservations use email. Transactional reservation SMS is limited to bookings created by restaurant staff where valid guest consent was recorded. In the current public online waitlist flow, submitting the required phone number and “Join Waitlist & Get Text Updates” action is the displayed SMS opt-in, and the flow does not currently offer an online join-without-SMS choice. Staff-created waitlist entries may be saved with SMS off; enabling their SMS requires valid guest consent.

The restaurant must:

Tade may reject, pause, or disable messaging where consent evidence is missing, a number has opted out, provider approval or account status prevents delivery, or messaging creates legal, security, reputation, or carrier risk. Delivery is not guaranteed and the restaurant must maintain non-SMS operational methods for time-sensitive service.

7. Restaurant Content and Licence

The restaurant retains ownership of content it submits. It grants Tade a worldwide, non-exclusive, royalty-free licence to host, copy, resize, format, display, transmit, and otherwise process that content only as reasonably needed to operate, secure, support, and improve the Operator Services and public restaurant pages. You confirm that the restaurant has all permissions needed for submitted names, logos, menus, photos, promotions, and other content, including permissions from photographers and depicted persons where required.

9. Trial, Plans, and Future Paid Service

Tade may identify accounts by plan, trial period, and subscription status and may limit plan-specific features. Paid subscriptions are not currently enabled: Tade does not currently collect payment card details or charge subscription fees through the Operator Services. Before enabling paid service, Tade will identify the applicable processor, price, taxes, billing interval, renewal and cancellation terms, and obtain any additional agreement required before charging. Database fields or disabled screens prepared for future billing do not themselves authorize a charge.

10. Third-Party Services and App Updates

The Operator Services rely on Google and Apple for primary identity sign-in, Google Maps Platform for restaurant address search and maps, Twilio for SMS, Resend for transactional email, Google Workspace for support and privacy-request email, Google Cloud and managed infrastructure for application processing and storage, Vercel for web hosting, Expo/EAS for mobile build and update delivery, and domain providers. By using Google Maps features or content in the Operator Services, you agree that your use is subject to the then-current Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy. Third-party services may be unavailable or governed by their own terms. You authorize the processing reasonably required to use the feature you select.

The mobile app may download application updates through Expo's update service. You are responsible for using supported operating-system and app versions and installing security and compatibility updates within a reasonable time.

11. Confidentiality and Security

Each party must protect non-public business, security, and personal information received from the other using reasonable care and use it only for the Service or as law permits. Confidentiality does not cover information already lawfully known, independently developed, publicly available without breach, or lawfully received from another source. A party may disclose information where legally required after giving notice when permitted.

The restaurant must implement reasonable device controls, access restrictions, staff procedures, and incident response appropriate to guest information. Notify Tade promptly of suspected unauthorized access or disclosure connected to the Operator Services and cooperate in required investigation and notification.

12. Ownership, Feedback, and Reservation of Rights

Tade and its licensors own the Operator Services, software, designs, documentation, branding, and related intellectual property. Subject to these Operator Terms, Tade grants the restaurant a limited, non-exclusive, non-transferable, revocable right to use the Operator Services for its internal restaurant operations. Feedback may be used without restriction or payment, provided Tade does not publicly identify confidential restaurant information without permission.

13. Availability, Support, and Changes

Tade will use reasonable efforts to operate the Service but does not promise uninterrupted operation, a service level, permanent availability of a feature, or delivery of every message. Maintenance, provider failures, internet or carrier conditions, emergencies, security incidents, and events outside reasonable control may interrupt service. Tade may make changes needed for security, law, provider requirements, compatibility, or product development.

14. Suspension and Termination

The restaurant may stop using the Service and request account deletion through available account controls or support. If an account is temporarily bound to controlled-rollout or upload authorization, that authority must first be revoked or retired through its controlled procedure; deletion fails closed instead of silently discarding it. The public production runtime does not currently enroll operators in those dormant controls. Tade may suspend or terminate access for breach, non-payment if paid service is later enabled, legal or provider requirements, security risk, abuse, harm to guests or others, or discontinuation of the Service. Where reasonably possible, Tade will provide notice and an opportunity to cure a remediable breach.

On termination, access ends and public pages may be disabled. Tade will delete or anonymize information according to the applicable privacy notices, while retaining limited subscription, deletion-audit, messaging, opt-out, SMS-consent, reservation-email-authorization, security, and legal records where permitted or required. A later Google or Apple sign-in may create a separate new account, but it does not restore the terminated account or removed data. The restaurant is responsible for exporting information it lawfully needs before termination.

15. Disclaimers

To the maximum extent permitted by law, the Operator Services are provided "as is" and "as available." Tade disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Tade does not provide legal, privacy, tax, accessibility, food-safety, employment, or telecommunications compliance advice, and restaurant configurations do not guarantee compliance.

16. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or business opportunity, arising from the Operator Services. Tade's aggregate liability arising from the Operator Services will not exceed the greater of the fees the restaurant paid Tade in the twelve months before the event and CAD $100. These exclusions and limits do not apply to fraud, wilful misconduct, breach of confidentiality, unlawful misuse of personal information, indemnification obligations, or liability that cannot legally be limited.

17. Indemnity

The restaurant will defend and indemnify Tade and its personnel against third-party claims, losses, penalties, and reasonable costs arising from the restaurant's dining operations, content, unlawful or unauthorized messaging, handling of guest information, violation of law or third-party rights, or material breach of these Operator Terms, except to the extent caused by Tade's own breach, negligence, or wilful misconduct. Tade will give reasonable notice and cooperation and will not settle an indemnified claim in a way that admits the restaurant's fault or imposes non-monetary duties without consent.

18. Governing Law and General Terms

These Operator Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Courts in British Columbia have jurisdiction, except where mandatory law requires otherwise. Neither party may assign these Operator Terms without consent, except in connection with a bona fide merger, reorganization, or sale of substantially all relevant assets. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Delay in enforcement is not a waiver. These Operator Terms and incorporated notices are the agreement about their subject unless a signed written agreement expressly replaces them.

19. Changes and Contact

Tade may update these Operator Terms. Material changes will be communicated through the account, app, email, or another reasonable channel before or when they take effect as required. Continued use after the effective date constitutes acceptance where law allows; if you do not agree, stop using the Operator Services and arrange account closure.
